Background

1. TCPI, formerly Grand Cement Manufacturing Corporation ("GCMC") is a domestic corporation duly organized and existing under the laws of the Philippines.

2. On August I, 2001, then GCMC established a retirement benefit plan known as forth therein. the "Grand Cement Manufacturing Corporation Retirement Pian" ("GCMC Plan") which became effective on the same date.
