C.T.A. CASE NO. 7620 2 DECISION paid. Further, both the administrative claim and judicial claim for refund must be filed within the two (2) year period. THE CASE This is a Petition for Review filed by petitioner TeaM Sual Corporation (Formerly: Mirant Sual Corporation and Southern Energy Pangasinan, Inc.) praying for a refund or issuance of a tax credit certificate in the total amount ofP103,588,530.59, representing unutilized input VAT paid on its domestic purchases of capital goods, domestic purchases of goods other than capital goods, domestic purchases of services, services rendered by non residents, importation of capital goods and importation of goods other than capital goods attributable to its zero- rated sales for the period from January 1, 2005 to October 31, 2005. THE PARTIES Petitioner is a domestic corporation duly organized and existing under and by virtue of Philippine laws with principal office at Bo. Pangascasan, Sual, Pangasinan. Petitioner was originally registered with the SEC under the name of Pangasinan Electric Corporation, which was changed to Southern Energy Pangasinan, Inc., then to Mirant Sua] Corporation. During the pendency of this case, it again changed its - corporate name to TeaM Sual Corporation on July 23, 2007.

C.T.A. CASE NO. 7620 3 DECISION Respondent, on the other hand, IS the duly appointed Commissioner of Internal Revenue, vested with authority to act on and approve claims for refund or issuance of tax credit certificate of overpaid internal revenue taxes as provided by law, with office address at the BIR National Office Building, Agham Road, Diliman, Quezon City. THE FACTS The antecedent facts of the case are as follows: Petitioner is principally engaged in the busines? of power generation and subsequent sale thereof to National Power Corporation (NPC) under a Build, Operate, Transfer (BOT) scheme. As such, it is principally registered with the BIR as a VAT taxpayer, in accordance with Section 107 of the NIRC of 1997, as amended, with Tax Identification No. 003-841-103. On December 17, 2004, petitioner filed with the BIR Audit Information Tax Exemption and Incentives Division an Application for Effective Zero-Rate of its supply of electricity to the NPC for the period January 1, 2005 to October 31, 2005, which was subsequently approved. On December 21 , 2006, petitioner filed an administrative claim for refund ofunutilized input VAT with the Revenue District Office No.5 , at :J8 5

C.T.A. CASE NO . 7620 4 DECISION Alaminos City in the total amount of P1 03,588,530.59 for the period January 1, 2005 to October 31, 2005. In order to preserve its right and to toll the runnmg of the prescriptive period for its judicial claim, petitioner filed the instant Petition for Review on April 18, 2007. In his Answer filed on May 28, 2007, respondent, by way of special and affirmative defenses, averred that the CT A has no jurisdiction to entertain the instant petition for r~view for failure of petitioner to comply with Section 112 (D) of the NIRC of 1997, as amended; that the administrative claim for refund with the BIR was filed on December 21, 2006, subsequently, the instant petition was filed on April 15, 2007, obviously, the 120 days given to Commissioner to decide on the claim has not yet lapsed when the petition was filed; hence, the petition was prematurely filed and must be dismissed for lack of jurisdiction. Petitioner presented Taryn Uberita and Emmanuel Mendoza, as witnesses, and documentary evidence marked as Exhibits "A" to "XX", inclusive of their submarkings, which were admitted by the Court, except for Exhibits " W" to "Z", "EE" to "HH", and their submarkings, for failure of the petitioner to identify the same during trial. .;;ac

C.T.A. CASE NO. 7620 5 DECISION Upon motion of counsel for the petitioner, respondent's right to present evidence was considered waived for his repeated failure to appear at the trial for the presentation of his -evidence. Thereafter, both parties were ordered to file their simultaneous memoranda, within thirty (30) days from notice. Considering petitioner's "Memorandum" filed on March 20, 2009 and respondent's "Memorandum" filed on May 4, 2009, the case was deemed submitted for dec.ision on May 12, 2009. Hence, this decision. ISSUES As stipulated upon by the parties, the following are the issues for this Comi's consideration: I WHETHER OR NOT THE POWER GENERATION SERVICES RENDERED BY PETITIONER FOR THE PERIOD JANUARY 1, 2005 TO OCTOBER 31, 2005 TO NPC, MIRANT PHILIPPINES ENERGY CORPORATION, MIRANT PHILIPPINES INDUSTRIAL POWER CORPORATION, AND MIRANT PHILIPPINES INDUSTRIAL POWER II CORPORATION ARE SUBJECT TO ZERO PERCENT (0%) VAT PURSUANT TO RA NO. 6395, AND THE EPIRA, AND ITS IMPLEMENTING RULES AND REGULATIONS. @JY

C.T.A. CASE NO. 7620 6 DECISION II WHETHER OR NOT PETITIONER HAD UTILIZED INPUT VAT FOR THE PERIOD JANUARY 1, 2005 TO OCTOBER 31, 2005 IN THE TOTAL AMOUNT OF P103,588,530.59 WHICH ARE ATTRIBUTABLE TO PETITIONER'S ZERO RATED SALES OF POWER GENERATION SERVICES TO NPC, MIRANT PHILIPPINES ENERGY CORPORATION, MIRANT PHILIPPINES INDUSTRIAL POWER CORPORATION, AND MIRANT PHILIPPINES INDUSTRIAL POWER II CORPORATION PURSUANT TO RA NO. 6395, AND THE EPIRA, AND ITS IMPLEMENTING RULES AND REGULATIONS. III WHETHER OF NOT THE ADMINISTRATIVE CLAIM FOR REFUND FILED BY PETITIONER WITH REVENUE DISTRICT OFFICE NO. 5 AT ALAMINOS CITY ON DECEMBER 21, 2006 IN THE AMOUNT OF p103,588,530.59 AND THE INSTANT PETITION FOR REVIEW WERE SEASONABLY FILED. IV WHETHER OR NOT THE UNUTILIZED CREDITABLE INPUT TAXES FOR THE PERIOD JANUARY 1, 2005 TO OCTOBER 31, 2005 IN THE TOTAL AMOUNT OF P103,588,530.59 ARE PROPERLY SUBSTANTIATED BY INVOICES AND OFFICIAL RECEIPTS. v WHETHER OR NOT THE UNUTILIZED INPUT VAT PAYMENTS FOR THE PERIOD JANUARY 1, 2005 TO OCTOBER 31, 2005 IN THE TOTAL AMOUNT OF Pl03,588,530.59 WERE CARRIED OVER TO AND w ~88

C. T.A. CASE NO . 7620 7 DECISION UTILIZED IN THE SUCCEEDING TAXABLE QUARTER(S) ARE APPLIED AGAINST ANY OF THE OUTPUT VAT LIABILITY OF THE PETITIONER. VI WHETHER OR NOT PETITIONER IS ENTITLED TO A REFUND AND/OR ISSUANCE OF TAX CREDIT CERTIFICATE FOR THE UNUTILIZED INPUT VAT PAYMENTS IN THE TOTAL AMOUNT OF Pl 03 ,588,530.59. Principal Iss ue The foregoing Issues raised by both parties boil down to the principal issue of whether or not petitioner is entitled to a refund or issuance of a tax credit certificate in the aggregate amount of P 103, 588,530.59, representing unutilized excess input VAT attributable to zero-rated sales for the second and third quarters and the month of October for taxable year 2005. THE COURT'S RULING The petition is partly meritorious. Petitioner anchors its claim on Section 112(A) of the National Internal Revenue Code (NIRC) of 1997, as amended, which provides, as follows: "SEC. 112. Refunds or Tax Credits oflnput Ta(j/r;J

C.T.A. CASE NO. 7620 8 DECISION (A) Zero-rated or Effectively Zero-rated Sa les. - Any VAT -registered person, whose sales are zero-rated or effectively zero-rated may, within two (2) years after the close of the taxable quarter when the sales were made, apply for the issuance of a tax credit certificate or refund of creditable input tax due or paid attributable to such sales, except transitional input tax, to the extent that such input tax has not been applied against output tax: Provided, however, That in the case of zero-rated sales under Section 106(A)(2)(a)(1),(2) and (B) and Section 108(B)(l) and (2), the acceptable foreign currency exchange proceeds thereof had been duly accounted for in accordance with the rules and regulations of the Bangko Sentral ng Pilipinas (BSP): Provided further, That where the taxpayer is engaged in zero-rated or effectively zero-rated sale and <;tlso in taxable or exempt sale of goods or properties or services, and the amount of creditable input tax due or paid cannot be directly and entirely attributed to any one of the transactions, it shall be allocated proportionately on the basis of volume of sales." Pursuant to the above provision, in order to be entitled to a refund or tax credit certificate of input VAT attributable to zero-rated or effectively zero-rated sales, the following requisites must be complied with: 1) there must be zero-rated or effectively zero-rated sales; 2) that input taxes were incurred or paid; 3) that such input taxes are attributable to zero-rated sales or effectively zero-rated sales; 4) that the input taxes were not applied against any output VAT liability; and (JL :.;go

C.T.A. CASE NO. 7620 9 DECISION 5) that the claim for refund was filed within the two-year prescriptive period. Fi(th Requisite: Claim for refund was filed within the two-year period This Court finds it appropriate to determine first the timeliness of the filing of the instant claim. Clearly, Section 112 (A) provides that the taxpayer may apply for a refund or issuance of a tc;1x credit certificate, within two (2) years from the close of the taxable quarter when the importation or purchase was made. In the recent case of Commissioner of Internal Revenue vs. Mirant Pagbilao Corporation (Formerly Southern Energy Quezon, Inc.), 565 SCRA 154, the Supreme Court settled the issue on the reckoning of the prescriptive period and the applicable provisions of claims for refund for input VAT, as follows: "Claim for refund or tax credit filed out of time The claim for refund or tax credit for the creditable input VAT payment made by MPC embodied in OR No. 0189 was filed beyond the period provided by law for such claim. Sec. 112(A) ofthe NIRC pertinently reads: (A) Zero-rated or Effectively Zero -rated Sales. - Any VAT -registered person, whose sales are zero- rated or effectively zero-rated may, within two (2) years after the close of the taxable quarter when the sales were made, apply for the issuance of a tax (f)_

C.T.A. CASE NO. 7620 10 DECISION credit certificate or refund of creditable input tax due or paid attributable to such sales, except transitional input tax, to the extent that such input tax has not been applied against output tax: x x x. (Emphasis ours.) The above proviso clearly provides in no uncertain terms that unutilized input VAT payments not otherwise used for any internal revenue tax due the taxpayer must be claimed within two years reckoned from the close of the taxable quarter when the relevant sales were made pertaining to the input VAT regardless of whether said tax was paid or not. As the CA aptly puts it, albeit it erroneously applied the aforequoted Sec. 112(A), '[P]rescriptive period commences from the close of the taxable quarter when the sales were made and not from the ·time the input VAT was paid nor from the time the official receipt was issued.' Thus, when a zero-rated VAT taxpayer pays its input VAT a year after the pertinent transaction, said taxpayer only has a year to file a claim for refund or tax credit of the unutilized creditable input VAT. The reckoning frame would always be the end of the quarter when the pertinent sales or transaction was made, regardless when the input VAT was paid. Be that as it may, and given that the last creditable input VAT due for the period covering the progress billing of September 6, 1996 is the third quarter of 1996 ending on September 30, 1996, any claim for unutilized creditable input VAT refund or tax credit for said quarter prescribed two years after September 30, 1996 or, to be precise, on September 30, 1998. Consequently, MPC's claim for refund or tax credit filed on December 10, 1999 had already prescribed. Reckoning for prescriptive period under Sees. 204(C) and 229 of the NIRC i~applicable To be sure, MPC cannot avail itself of the provisions of either Sec. 204(C) or 229 of the NIRC which, for the purpose of refund, prescribes a different starting point for

C.T.A. CASE NO. 7620 11 DECISION the two-year prescriptive limit for the filing of a claim therefor. Sees. 204(C) and 229 respectively provide: Sec. 204. Authority of the Commissioner to Compromise, Abate and Refund or Credit Taxes. - The Commissioner may - xxxx (c) Credit or refund taxes erroneously or illegally received or penalties imposed without authority, refund the value of internal revenue stamps when they are returned in good condition by the purchaser, and, in his discretion, redeem or change unused stamps that have been rendered unfit for use and refund their value upon proof of destruction. No credit or refund of taxes or penalties shall be allowed unless the taxpayer files in writing with the Commissioner a claim for credit or refund within two (2) years after the payment of the tax or penalty: Provided, however, That a return filed showing an overpayment shall be considered as a written claim for credit or refund. xxxx Sec. 229. Recovery of Tax Erroneously or Illegally Collected. - No suit or proceeding shall be maintained in any court for the recovery of any national internal revenue tax hereafter alleged to have been erroneously or illegally assessed or collected, or of any penalty claimed to have been collected without authority, of any sum alleged to have been excessively or in any manner wrongfully collected without authority, or of any sum alleged to have been excessively or in any manner wrongfully collected, until a claim for refund or credit has been duly filed with the Commissioner; but such suit or proceeding may be maintained, whether or not such tax, penalty, or sum has been paid under protest or duress. In any case, no such suit or proceeding shall be filed after the expiration of two (2) years from the date of payment of the tax or penalty regardless of any supervening cause that may arise after payment: Provided, however, That the Commissioner may, even without a written claim therefor, refund or credit any .j9J

C.T.A. CASE NO. 7620 12 DECISION tax, where on the face of the return upon which payment was made, such payment appears clearly to have been erroneously paid. (Emphasis ours.) Notably, the above provisions also set a two-year prescriptive period, reckoned from date of payment of the tax or penalty, for the filing of a claim of refund or tax credit. Notably too, both provisions apply only to instances of erroneous payment or illegal collection of internal revenue taxes." Evidently, Section 112 (A) of the NIRC of 1997, as amended, clearly provides in no uncertain terms that unutilized input VAT payments not otherwise used for internal revenue tax due the taxpayer must be claimed within two (2) years reckoned from the close of the taxable quarter when the relevant sales were made or capital goods were imported or locally purchased pertaining to the input VAT, regardless of whether said tax was paid or not. The reckoning frame would always be the end of the quarter when the sales were made or capital goods were imported or locally purchased, regardless when the input VAT was paid. In this case, petitioner is claiming for the input VAT accumulated from January 1, 2005 to October 31, 2005 , hence, the counting ofthe two (2) year prescriptive period is, as follows: Period covered Reckoning date Last day to file a claim (both administrative & judicial) January 1 to March 31 , 2005 March 31 , 2005 March 31 , 2007 (First Quarter)

C.T.A. CASE NO. 7620 13 DECISION April 1 to June 30, 2005 June 30; 2005 June 30, 2007 (Second Quarter) July 1 to September 30, 2005 September 30, 2005 September 30, 2007 (Third Quarter) October 1- 31 , 2005 December 31 , 2005 December 31, 2007 Records show that petitioner filed its administrative claim on December 21, 2006 (Exhibit "B ') and the present Petition for Review on April 18, 2007. Clearly, petitioner's administrative claim for the first three (3) quarters of 2005 and for the month of October 2005 was filed within the prescriptive period of two (2) years. However, petitioner's judicial claim for the first quarter of 2005 was filed out of time. Therefore, petitioner is barred from claiming refund of its input taxes for the first quarter of 2005 in the amount of P18,738,140.02 due to prescription. First Requisite: There must be zero-rated or effectively zero rated sales As regards the first requisite, petitioner contends that its sale of services to NPC qualifies for VAT zero-rating, pursuant to Section 108 (B) (3) of the NIRC of 1997, as amended, which provides: "SEC. 108. Value-added Tax on Sale of Services and Use or Lease of Properties.- XXX XXX

C.T.A. CASE NO. 7620 14 DECISION (B) Transactions Subj ect to Zero Percent (0°/o) Rate.- The following services performed in the Philippines by VAT -registered persons shall be subject to zero percent (0%) rate: XXX XXX (3) Services rendered to persons or entities whose exemption under special laws or international agreements to which the Philippines is a signatory effectively subjects the supply of such services to zero percent (0%) rate; xxx xxx." It is well settled that NPC is exempt from payment of all kinds of taxes, both direct and indirect (Maceda vs. Macaraig, 223 SCRA 236), to wit: "The use of the phrase ' all forms' of taxes demonstrates the intention of the law to give NPC all the tax exemption it has been enjoying before. The rationale for this exemption is that being non-profit the NPC ' shall devote all its returns from its capital investment as well as excess revenues from its operation, for expansion.' XXX XXX It is evident from the provisions of PD No. 938 that its purpose is to maintain the tax exemption of NPC from all forms of taxes including indirect taxes as provided for under R.A. No. 6395 and P.D. No. 380 if it is to attain its goals. xxx xxx." J9G

C.T.A. CASE NO . 7620 15 DECISION Petitioner further presented its Application for VAT Zero-Rate (Exhibit "A") to prove that the BIR approved its application for zero-rating for the period from January 1, 2005 to October 31, 2005 for its sales to NPC. Petitioner also claims that its sale of electricity, as a generation company, to other compames other than the NPC, qualifies for VAT zero-rating under paragraph 5, Section 6 of RA 9136(EPIRA Law), which states: "SEC. 6. Generation Sector. xxx XXX XXX Pursuant to the objective of lowering electricity rates to end- users, sales of generated power by generation companies shall be value added tax zero-rated. xxx xxx." To qualify for VAT zero-rating under the EPIRA law, petitioner must be able to establish that: 1) it is a generation company and 2) it derives sales from power generation. 1) Generation Company Section 4 of RA 9136 provides: "SEC. 4. Definition of Terms.- XXX XXX .j97

C.T.A. CASE NO. 7620 16 DECISION (w) "Generation Company" refers to any person or entity authorized by th e ERC to operate faci lities used in the generation of electricity;" (Emphasis supplied) As regards the first requisite, petitioner failed to establish that it is a generation company in accordance with RA 9136. Petitioner failed to present any proof that it was registered with the Energy Regulatory Commission (ERC), pursuant to Section 4 of RA 9136, in relation to Section 6 (b) Rule 5 of the IRR, nor did it present any document to prove that it was accredited by the Department of Energy. Moreover, petitioner's claim under the EPIRA Law is being raised for the first time in this Court, it was never raised at the administrative level. Notably, in its administrative claim for refund with the BIR, only petitioner's sales to NPC were raised, as subject to zero-percent VAT, hence, it cannot raise the issue of its zero-rated sales to other companies, pursuant to the EPIRA Law for the first time in this Court. It is well settled that under the principle of prior exhaustion of administrative remedies, questions or issues not raised in the administrative level cannot be raised for the first time in the judicial level. To allow a litigant to assume a different posture when he comes before the court and challenge the position he had accepted at the administrative level, would be to · sanction a procedure whereby the Court-which is supposed to review J98

I' C.T.A. CASE NO. 7620 17 DECISION administrative determinations-would not rev1ew, but determine and decide for the first time, a question not raised at the administrative forum (Commissioner of Internal Revenue vs. Wander Philippines, Inc. , 160 SCRA 573) . Thus, petitioner's sales of generated power to Mirant Philippines Energy Corporation, Mirant Philippines Industrial Power Corporation, and Mirant Philippines Industrial Power II Corporation, cannot be claimed as zero percent (0%) VAT under the EPIRA Law. 2) Derives sales (rom power generation As regards the second requisite, records show that for the three quarters of taxable year 2005 until October of the same year, petitioner generated sales of power generation services to NPC and various companies in the total amount of P12,276,041,728.09, which was declared in its Quarterly VAT Returns for the three (3) quarters and the Monthly VAT Return for the month of October, as follows: Zero-Rated Exhibit Year 2005 Sales/Receipts c 151 Quarter 3,775,412,124.01 D 2nd Quarter 3,600,420,391 .50 E 3rct Quarter 3,700,406,077.70 I month of October 1'199,803,134.88 TOTAL 12,276,041,728.09 The ICPA found a marked discrepancy between the total zero-rated .. w receipts ofP11,007,487,989.41 reflected in petitioner' s books of accounts ::;gg

C.T.A. CASE NO. 7620 18 DECISION and the total zero-rated receipts of P12,276,041,728.09 declared by petitioner in its 2005 Quarterly VAT Returns. In his report, the ICP A reconciled the amounts reported in the Quarterly VAT returns with the amounts recorded in the books as gross receipts, as follows: , "Total Amounts reported in the Quarterly VAT Returns P12,276,041 ,728.09 Add: Receivables, October 31 , 2005 1,295,912,485.40 Accrual of current year's revenue 45,311,352.37 1,341,223,837.77 Less: Receivables, beginning 1,330,191 ,291 .35 Reversal of previous year's accrual of Revenue 1,273,229,991.31 Foreign exchange difference 6,356,293.79 (2,609,777,576.45) Sales per books P11 ,007,487,989.41 The difference of P 1,263,553, 738.68 is mainly attributable to the accrual basis of accounting used in reporting zero-rated sales in the Company's books as against the actual receipts reported in the quarterly VAT Returns." (Exhibit " G ", pp. 12- 13) Considering the above findings of this Court, we are constrained to deduct the amount corresponding to the zero-rated sales for the first quarter due to prescription, and the alleged zero-rated sales which did not qualify for zero-rating for failure of petitioner to prove its entitlement under the EPIRA Law and for petitioner's failure to exhaust administrative remedies. The total disallowed amount of P4,057,987,717.64, is computed as follows:

Moreover, the substantiated claim ofP80,185,178.05 forms part of the P206,891,1 58.45 (Pl03,302,627.88 for C.T.A. Case No. 7470 and Pl03,588,530.59 for the instant case) input VAT deducted as "Any VAT Refund/TCC Claimed" in the Quarterly VAT Return for the fourth quarter of 2005 (Exhibit "G").
