No. 9136, otherwise known as the "Electric Power Industry Reform Act of 2001 (EPIRA)", became VAT zero-rated beginning June 26, 2001 and remained to be VAT zero-rated under Section 108(8)(7) of the NIRC, as amended by R.A. No. 9337. Due to respondent's inaction and in order to suspend the running of the two-year prescriptive period within which to file a judicial claim for refund/issuance of tax credit certificate, petitioner filed with this Court a Petition for Review on January 3, 2007. Respondent interposed the following Special and Affirmative Defenses in his Answer 6 to the Petition for Review: "11. The Court of Tax Appeals has no jurisdiction to entertain the instant petition for review for failure on the part of the petitioner to comply with the provision of Section 112 (D) of the 1997 National Internal Revenue Code which provides, thus: t 5 Par. 10, Stipulated Facts, JSFI, docket, p. 233 ; Petition for Review, Annex "M" 6 Docket, pp. 203-204 31 0

· DECISION C.T.A. Case No. 7560 'Section 112. Refunds or Tax credits of Input Tax- XXX XXX XXX (D). Period within which refund or Tax Credit of Input Taxes shall be Made- In proper cases, the Commissioner shall grant a refund or issue the tax credit certificate for creditable input taxes within one hundred twenty (120) days from the date of submission of complete documents in support of the application filed in accordance with Subsections (A) and (B) hereof. In case of full or partial denial for tax refund or tax credit, or the failure on the part of the Commissioner to act on the application within the period prescribed above, the taxpayer affected may, within thirty (30) days from the receipt of the decision denying the claim or after the expiration of the one hundred twenty day-period, appeal the decision or the unacted claim with the Court of Tax Appeals. 12. As mentioned in the petition, petitioner filed the administrative claim for refund with the Bureau of Internal Revenue on November 30, 2006. Subsequently, on January 3, 2007, the instant petition was filed. Obviously the 120 days given to the Commissioner to decide on the claim has not yet lapsed when the petition was filed. The petition was prematurely filed, hence it must be dismissed for lack of jurisdiction." During trial, only petitioner presented its evidence and the Court submitted the case for decision on February 12, 2009, taking into consideration the Memoranda filed by the parties on February 9, 2009. 7 The following are the parties' jointly stipulated issues 8, submitted for this Court's resolution: "1. Whether or not the unutilized input VAT of the Petitioner for the first to fourth quarters of 2005 amounting to P15,289,096.47 is substantiated by documentary evidence in the form of invoices and official receipts. 2. Whether or not the said unutilized input VAT credits of the Petitioner for the first to fourth quarters of 2005 in the total amount of P15,289,096.47 was applied against any output tax of the Petitioner in the subsequent quarters. 7 Docket, p. 441 8 Stipulated Issues for Trial, JSFI, docket, p. 233 Jl l

DECISION C.T.A. Case No. 7560 3. Whether or not the Petitioner is entitled to a refund and/or issuance of tax credit certificate in the total amount of P15,289,096.47, representing its unutilized input VAT from purchases of taxable goods and services and importation of goods for the first to fourth quarters of 2005." Petitioner anchors its claim on Section 112(A) of the NIRC of 1997, as amended, which reads as follows: "SEC. 112. Refunds or Tax Credits of Input Tax. - (A) Zero-rated or Effectively Zero-rated Sales. - P..ny VAT- registered person, whose sales are zero-rated or effectively zero-rated may, within two (2) years after the close of the taxable quarter when the sales were made, apply for the issuance of a tax credit certificate or refund of creditable input tax due or paid attributable to such sales, except transitiona·l input tax, to the extent that such input tax has not been applied against output tax: Providelt however, That in the case of zero-rated sales under Section 106(A)(2)(a)(1), (2) and (B) ancl Section 108(B)(1) and (2), the acceptable foreign currency exchange proceeds thereof had been duly accounted for in accordance with the rules and regulations of the Bangko Sentral ng Pilipinas (BSP): Providelt further, That where the taxpayer is engaged in zero-rated or effectively zero- rated sale and also in taxable or exempt sale of goods or properties or services, and the amount of creditable input tax due or paid cannot be directly and entirely attributed to any one of the transactions, it shall be allocated proportionately on the basis of the volume of sales." Based on the foregoing, in order to be entitled to a refund or tax credit of input tax due or paid attributable to zero-rated or effectively zero-rated sales, the following requisites must be satisfied: 1. that there must be zero-rated or effectively zero-rated sales; 2. that input taxes were incurred or paid; 3. that such input taxes are attributable to zero-rated or effectively zero-rated sales; 4. that the input taxes were not applied against any output VAT liability; and 5. that the claim for refund was filed within the two-year prescri ptive period. As correctly pointed out by petitioner, the law explicitly states that sales of generated power by generation companies are VAT zero-rated beginninq June 26, 2001; the date of effectivity of R.A. No. 9136. Section 6 of R.A. No. 9136 provides that: I

DECISION C.T.A. Case No. 7560 "SEC. 6. Generation Sector - Generation of electric power, a business affected with public interest shall be competitive and open. Upon the effectivity of this Act, any new generation company shall, before it operates, secure from the Energy Regulatory Commission (ERC) a certificate of compliance pursuant to the standards set forth in this Act, as well as health, safety and environmental clearances from the appropriate government agencies under existing laws. Any law to the contrary notwithstanding, power generation shall not be considered a public utility operation. For this purpose, any person or entity engaged or which shall engage in power generation and supply of electricity shall not be required to secure a national franchise. Upon the implementation of retail competition and open access, the prices charged by a generation company for the supply of electricity shall not be subject to regulation by the ERC except as otherwise provided in this Act. Pursuant to the objective of lowering electricity rates to end-users, sales of generated power by generation companies shall be value added tax zero-rated. The ERC shall, in determining the existence of market power abuse or anti-competitive behavior, require from generation companies the submission of their financial statements. " (Emphasis supplied) Section 6 of Rule 5 of the Implementing Rules and Regulations of R.A. No. 9136 provides a similar pronouncement, to wit: "RULE 5 Generation Sector XXX XXX XXX SECTION 6. Generation Charges and VAT. - XXX XXX XXX (b) Pursuant to the policy of reducing electricity rates to End- users, sales of generated power by a Generation Company shall, from the effectivity of the Act, be zero-rated for the purpose of imposition of value-added tax. Towards this end, the imposition of zero percent (0%) VAT shall apply to the sale of generated power by a Generation Company through all stages of sale until it reaches the End- user. The DOF, through the BIR, shall issue the necessary revenue regulation within sixty (60) calendar days from effectivity of these rules." (Emphasis supplied) I 31 3

DECISION C.T.A. Case No. 7560 Petitioner presented its Certificate of. Accreditation 9 issued by the DOE, showing that it is indeed engaged in the sale of power generation services to the PNOC-EDC by virtue of the Energy Conversion Agreementl 0 entered into between PNOC-EDC and Ormat, Inc., petitioner's predecessor-in-interest. Based on the invoices 11 and official receipts 12 issued by petitioner to PNOC-EDC, its sole customer, petitioner's gross receipts from sales of power generation services for the period covering January 1, 2005 to December 31, 2005 amounted to P2,299,428,511.11Y Such gross receipts qualify for VAT zero-rating under Section 6 of R.A. No. 9136. With the amendments introduced by R.A. No. 9337 on EVAT provisions, upon its effectivity on July 1, 2005, the zero-VAT rate imposed on the sales of generated power by generation companies under R.A. No. 9136 was repealed. Notwithstanding the said repeal, petitioner's sale of generated power derived from geothermal power continued to be VAT zero-rated under Section 108(8)(7) of the NIRC of 1997, as amended, to wit: "SEC. 108. Value-added Tax on Sale of Services and Use or Lease of Properties. - XXX XXX XXX (B) Transactions Subject to Zero Percent (0°/o) Rate. -The following services performed in the Philippines by VAT-registered persons shall be subject to zero percent (0%) rate: XXX XXX XXX (7) Services rendered to persons or entities whose exemption under special laws or international agreements to which the Philippines is a signatory effectively subjects the supply of such services to zero percent (0°/o) rate. DECISION C.T.A. Case No. 7560 Since petitioner's gross receipts from power generation services for the period from January 1, 2005 to December 31, 2005, in the amount of P2,299,428,511.11, qualify for zero percent (0%) VAT, the alleged unutilized input VAT attributable thereto in the amount of P15,289,096.47 may be the proper subject of a claim for refund or issuance of tax credit certificate under Section 112(A) of the NIRC of 1997, as amended. After a thorough examination of petitioner's supporting documents 14 and the Report 15 of the Court-commissioned Independent Certified Public Accountant (CPA), this Court finds however that out of the total input VAT claim of P15,289,096.47, only . the amount of P9,078,444.26 is duly substantiated by the required evidence under Sections 110(A) and 113(A) of the NIRC of 1997, as amended, in relation to Sections 4.104-1, 4.104-5, and 4.108-1 of Revenue Regulations No. 7-95 and Section 4.110-7 of Revenue Regulations No. 16-05. DECISION C.T.A. Case No. 7560 Regarding the issue of whether or not the substantiated input VAT of P9,078,444.26 was applied against any output VAT, petitioner's Quarterly VAT Returns 16 for the subject period of claim showed that petitioner's sales were all zero-rated and it had no output VAT against which the subject claim may be credited or applied. Although petitioner carried over the said input VAT in the succeeding four quarters of 2006/ 7 the same remained unutilized until it was fully deducted as "VAT Refund/TCC claimed" in the fourth quarter of 2006. 18 Thus, the input tax of P7,827,610.98 19 as of the end of the fourth quarter of 2006, which was to be carried over to the succeeding first quarter of 2007, no longer included the claimed input VAT. Finally, as to the timeliness of the filing of the instant claim, it has been held that the two-year prescriptive period for the filing of VAT refund claims is reckoned from the date of filing of the corresponding Quarterly VAT Returns. 20 The earliest quarter covered by the instant Petition is the first quarter of 2005, for which petitioner originally filed its Quarterly VAT Return on April 25, 2005 21 • Counting from this date, both the administrative claim filed on November 30, 2006 and the Petition for Review filed on January 3, 2007 fall within the two-year prescriptive period. In fine, this Court finds petitioner to have sufficiently proven its entitlement to the issuance of tax credit certificate or refund of the amount of P9,078,444.26, representing unutilized input VAT attributable to zero-rated sales for the four quarters of 2005, computed as follows: 16 Exhibits "L" "N" "P"1 and "S" 17 Exhibits "00" ,:PP" "QQ" and "NN" 18 Exhibit "NN" line 2:io ' 19 Exhibit "NN": line 29 20 Atlas Consolidated Mining and Development Corporation vs. Commissioner of Internal Revenue, G.R.
