Memorandum on Prohibition on Subleasing, Subletting and or Sublicensing of Accreditations of Licenses and Streamlining of Gaming Brands

SUBJECT PROHIBITION ON SUBLEASING, SUBLETTING AND/OR SUBLICENSING OF ACCREDITATIONS OR LICENSES AND

STREAMLINING OF GAMING BRANDS

At present, there are more than sixty (60) PAGCOR-accredited Gaming System Administrators (GSA) (formerly Gaming System Service Providers) that have been authorized to provide/offer games for local or domestic efectronic gaming operations.

Correspondingly, these game offerings of the said GSAs are currently published and marketed using at least seventy (70) approved main Brands with at least eighty (80) Sub- brands along with +more than four hundred (400) registered main domain names and sub-domain names/Uniform Resource Locators (URL).

It has come to our attention however that a number of GSAs are sublicensing. subleasing, subletting or allowing other entities to ride on their licenses/accreditations through the utilization of separate gaming platforms. Such an arrangement is a grave violation circumventing the regulations issued by PAGCOR, which, as approved by PAGCOR's Board of Directors, warrants the penalty of revocation of accreditation and subsequent blacklisting of the errant entity.

To prevent the above instances, a "No Subleasing, Subletting or Sublicensing Policy" with streamlining of Brands has been approved for implementation to all PAGCOR- accredited GSAs, Gaming Affiliates, Support Service Providers and PAGCOR-licensed Gaming Venue Operators.

All affected entities, i.e. the GSAs, shall comply with the attached Implementing Rules and Guidelines. Non-compliance therewith shall be dealt with accordingly

IMPLEMENTING RULES AND GUIDELINES (IRG) ON "NO SUBLEASING

SUBLETTING AND/OR SUBLICENSING" POLICY

There are seven (7) game offerings under the supervision of the Electronic Gaming Licensing Department (EGLD), namely:

N This IRG on "No Subleasing/Sublicensing Policy" shall be implemented and shall

cover all PAGCOR-accredited Gaming System Administrators (GSA) (formerly a Gaming System Service Provider), Gaming Affiliates, Support Service Providers and PAGCOR-licensed Gaming Venue Operators.

2. Each GSA shall be allowed only one Brand and a main domain name/Uniform Resource Locator (URL) across all its approved game offerings. A Brand shall have

a single-word name which shall be exclusively assigned to a GSA.

3. Said GSA may further elect additional sub-brands, maximum of six (6), with

independent Electronic Gaming System (EGS) along with its Online Gaming Platform (OGP) likewise for the operation of all its approved game offerings.

4. The sub-brand/s, along with their corresponding sub-domains/URLs shall all visibly

contain the main Brand name which may be placed as the main name/word or either as a prefix or a suffix.

5 All EGS/OGP, main and sub-domains included, shall record all transactions in a single

back-office.

6. All other additional URLs, aside from the main domains and six (6) sub-domains shall

always be redirected to the latter.

7 Each main brand/main domain, as well as its sub-brands/sub-domains may have one

respective social media account per social media platform for marketing/promotional purposes. Such will be applied for with and be approved by the EGLD.

8. The existing GSA with multiple Brands, domain names/URLs shall be given fifteen

(15) calendar days from receipt of notice of the.approval by the Board of Directors to decide its main Brand and main domain name/URL across all its approved game offering, along with additional sub-brand and/or sub-domain name/URL per game

names/URLs shall be deemed unauthorized, and subsequently be abandoned and offering, if any; after which, all other previously registered Brands and domain

closed down.

9. The EGLD shall evaluate and approve all utilizations of Brands and domain

names/URLs to be requested by the GSAs. The EGLD may assign the specific Brand and/or domain name/URL to the GSA that failed to comply with the above-required provision of Brand/domain name/URL on time.

10. The EGLD may determine and approve to retain or assign a particular Brand to a

deserving GSA in consideration of factors that merit such brand assignment.

11. In case of dispute between brands, the EGLD shall evaluate and determine which

brand shall prevail based on meritorious instances such as which entity had the first submission of the requested brand or based on any other justifiable reason.

12. Non-compliance with the "No Subleasing, Subletting and/or Sublicensing Policy" shall

have a corresponding penalty of revocation of accreditation/license and subsequent blacklisting of the errant GSA/entity.

13. All main offices of GSAs, as well as their satellite offices, shall be registered with the

EGLD and supervised by the CMED-EG. The GSAs shall not have offices with any other entity not licensed/registered with PAGCOR.
